Neuro-rAIn Core Legal Framework

1. Platform Terms of Service

1.1 Platform Role

Neuro-rAIn operates as a digital platform that connects businesses (herein referred to as SME – Small Medium Enterprise – but limited thereto) with independent advisors, experts, consultants and AI-generated output. Neuro-rAIn does not provide professional advisory services and acts solely as a facilitator enabling users to exchange knowledge and insights.

1.2 Independent Experts

Experts using the platform are independent participants and are not employees, representatives, partners, or agents of Neuro-rAIn.

1.3 No Professional Advice

Information shared on the platform, including expert responses and AI-generated outputs, is provided for informational purposes only and does not constitute legal, financial, technical, business, or professional advice. Users should seek qualified professional advice before making business or financial decisions.

1.4 Limitation of Liability

To the fullest extent permitted by law, Neuro-rAIn shall not be liable for any loss, damage, or consequence resulting from reliance on information, advice, or recommendations obtained through the platform.

1.5 Platform Availability

Neuro-rAIn does not guarantee uninterrupted or error-free operation of the platform.


2. User Agreement – Expert Participation Agreement

2.1 Independent Contributor Status

Experts participate on the platform as independent contributors and acknowledge they are not employees, representatives, partners, or agents of Neuro-rAIn.

2.2 Good Faith Knowledge Contribution

Experts agree that any insights, perspectives, or information they share on the Neuro-rAIn platform are provided in good faith as general knowledge contributions based on their professional experience or understanding. Such contributions are intended for informational discussion and should not be interpreted as formal professional advice, contractual commitments, or guaranteed outcomes.

2.3 Accuracy of Professional Information

Experts registering on the Neuro-rAIn platform may be asked to provide professional information including, but not limited to, credentials, qualifications, areas of expertise, professional biography, and experience. Experts agree to provide this information honestly and in good faith, and to the best of their knowledge ensure that such information is accurate and not misleading at the time it is submitted.

2.4 Content Right

By submitting content, insights, data, responses, or other materials to the Neuro-rAIn platform, Experts grant Neuro-rAIn a perpetual, worldwide, royalty-free right to store, reproduce, analyse, adapt, and use such content for platform operation, knowledge development, and AI training.


3. User Agreement – SME User Agreement

3.1 Platform Use

SMEs use the Neuro-rAIn platform to access informational insights, AI-generated analysis, and connections with independent experts.

3.2 No Guarantee of Outcomes

Neuro-rAIn does not guarantee business, financial, operational, or strategic outcomes resulting from platform use.

3.3 User Responsibility

SMEs are responsible for evaluating the relevance and reliability of advice obtained through the platform.

3.4 Professional Conduct

SME users agree to engage with the Neuro-rAIn platform in good faith when providing information, questions, or context to experts and AI systems. Users acknowledge that information shared may be incomplete or evolving but should be provided honestly to the best of their knowledge.

SME users also agree to respect the voluntary time and contributions of Experts by engaging constructively, avoiding misuse of the platform, and making reasonable efforts to clearly describe their questions or challenges.

3.5 Fair Use of Expert Time

Neuro-rAIn is designed as a collaborative knowledge platform where Experts, by enlarge, voluntarily contribute insights. SME users agree to use expert time responsibly and reasonably. This includes making a genuine effort to present questions clearly, avoiding repeated or excessive requests directed at the same Expert, and respecting that Experts may choose whether or not to respond.

SME users should not attempt to pressure Experts for extensive consulting services outside the intended scope of brief knowledge exchange or engagement outside the platform engagement medium, including sharing of personal contact information.

3.6 AI-Generated Business Diagnostics

Neuro-rAIn may provide automated AI-generated business diagnostics to SMEs based on information submitted by the SME. These diagnostics are intended to help SMEs better understand aspects of their business and provide context to Experts to facilitate more relevant engagement.

AI-generated diagnostics are provided for informational purposes only and do not constitute professional, financial, legal, or business advice. SMEs acknowledge that these outputs are based on the information they provide and may not reflect a complete or fully accurate picture of their business.

Users agree that Neuro-rAIn does not guarantee the accuracy, reliability, completeness, or applicability of any AI-generated business diagnostics and shall not be liable for any decisions, actions, or outcomes resulting from their use.


4. AI and Knowledge Data Policy

4.1 AI System Function

The Neuro-rAIn platform includes artificial intelligence systems that generate automated insights, responses, and recommendations based on available information.

4.2 Informational Nature

AI-generated outputs are informational and may contain inaccuracies or incomplete analysis.

4.3 Data Usage

Information submitted by users, including queries, expert responses, and platform interactions, may be used to improve the platform's AI systems and knowledge infrastructure.

4.4 Aggregated Knowledge

Neuro-rAIn may aggregate and analyse platform interactions to develop knowledge insights and improve services.

4.5 Intellectual Property

All platform systems, algorithms, and knowledge structures developed by Neuro-rAIn remain the intellectual property of Neuro-rAIn.

4.6 AI Training and System Improvement Rights

Information, questions, responses, interactions, and other content submitted to or generated through the Neuro-rAIn platform may be used by Neuro-rAIn to train, refine, and improve its artificial intelligence systems, knowledge models, and analytical tools. Such use may include aggregation, anonymization, pattern analysis, and machine learning development.


5. General Legal Terms

5.1 Acceptable Use

Users agree not to misuse the Neuro-rAIn platform or use it for any unlawful, fraudulent, or abusive activity. Access to the platform is granted solely for the legitimate use of the platform registered SME business or the registered Expert profile associated with the account.

Users agree not to share their account access, subscription, or login credentials with other individuals or organizations in order to bypass platform subscription requirements or usage limits.

Neuro-rAIn reserves the right, at its sole discretion, to suspend, restrict, or remove any user account that is found to be misusing the platform, engaging in illegal activities, violating these terms, or otherwise acting in a manner that undermines the integrity or intended use of the platform.

5.2 User Responsibility

Users are responsible for ensuring that any personal or confidential information they share through the platform is appropriate for the context of their interaction. Users should avoid sharing sensitive personal information unless necessary.

5.3 Acceptance

By using the Neuro-rAIn platform, users acknowledge that they have read and agreed to these terms.

5.4 Governing Law

These terms shall be governed by the applicable laws of the jurisdiction in which Neuro-rAIn operates.

5.5 Amendments

Neuro-rAIn reserves the right to modify these terms at any time with notice to users.

5.6 Jurisdiction and Arbitration

Any dispute, claim, or controversy arising out of or relating to the use of the Neuro-rAIn platform or these terms shall, to the fullest extent permitted by law, first be resolved through good faith negotiations between the parties.

If such dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration conducted in a mutually agreed jurisdiction. The arbitration process shall be conducted in English and the decision of the arbitrator shall be final and binding.

5.7 Global User Jurisdiction

Neuro-rAIn is a global digital platform and may be accessed by users from multiple countries. By using the platform, users acknowledge that they are responsible for complying with any local laws or regulations applicable in their jurisdiction.

Users further agree that the use of the Neuro-rAIn platform does not establish a local legal presence, legal advisory relationship, or regulatory obligation in the user's country unless explicitly stated by Neuro-rAIn.
